By downloading, installing, or using the Seedgrade DaVinci Resolve OpenFX plug-in (the "Software"), you agree to these Terms of Service (the "Terms"). If you do not agree, do not install or use the Software. These Terms are between you and Seedgrade, LLC ("Seedgrade", "we", "us").
You must be at least 18 years old and capable of entering into a binding agreement to use the Software. You are responsible for the accuracy of the account information you provide during sign-in and for safeguarding your credentials.
Subject to these Terms, Seedgrade grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Software solely within supported hosts (such as DaVinci Resolve) for your internal creative work. All rights not expressly granted remain with Seedgrade and its licensors.
You may not:
Licenses are sold on a per-seat basis. Each activation ties to a machine fingerprint and counts toward your seat allowance. Seedgrade may remotely deactivate or refuse additional activations if you exceed your seat limit or violate these Terms. You are responsible for signing out and releasing seats you no longer use.
Seedgrade may provide updates, bug fixes, or new features. Updates may be required to continue using the Software. We may modify or discontinue features at any time. Continued use after an update constitutes acceptance of the updated Software.
You retain ownership of the video footage, presets, LUTs, and other creative content you produce with the Software. You grant Seedgrade a limited right to process such content only as necessary to operate the Software on your device. We do not claim ownership over your creative work.
The Software communicates with Seedgrade's licensing servers and may rely on third-party platforms for authentication. Your use of those services is subject to their respective terms and policies.
Use of the Software requires payment of applicable license fees. All fees are non-refundable unless required by law. You are responsible for any taxes associated with your purchase, excluding taxes on Seedgrade's income.
Seedgrade may suspend or terminate your license at any time if you breach these Terms, misuse licensing seats, or engage in fraudulent activity. Upon termination you must stop using the Software and remove all copies from your systems. Sections that by their nature should survive termination (including ownership, disclaimers, limitations of liability, and dispute terms) will continue to apply.
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. YOUR USE IS AT YOUR OWN RISK.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SEEDGRADE AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR USE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SEEDGRADE'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SOFTWARE WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE LICENSE DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
You agree to indemnify, defend, and hold harmless Seedgrade, its affiliates, and their respective employees, officers, and agents from any claims, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Software, violation of these Terms, or infringement of third-party rights.
These Terms are governed by the laws of the State of California, USA, without regard to conflict-of-law principles. Any dispute arising from these Terms will be resolved exclusively in the state or federal courts located in San Francisco County, California, and you consent to personal jurisdiction in those courts.
We may update these Terms from time to time. When we do, we will revise the "Effective date" above and, if the change is material, provide notice through release notes or in-app messaging. Continued use of the Software after changes become effective constitutes acceptance of the updated Terms.
